CONFIRM CONTROL – TERMS AND CONDITIONS

1. Introduction

These Terms and Conditions govern your use of the Confirm Control web and mobile application (“Confirm Control”) operated by Control Confirm ABN 12 669 088 288 (“we”, “us” , or “our”). Confirm Control is designed to conduct risk assessments and track mitigations to ensure compliance and assurance.

2. Acceptance of Terms

By accessing or using Confirm Control, you agree to be bound by these Terms and
Conditions, our Privacy Policy, and any other documents incorporated by reference.
If you do not agree with any part of these terms, you should not use Confirm Control.

3. User Account and Access

a. To use Confirm Control, you must register an account providing accurate and
complete information. b. You are responsible for maintaining the confidentiality of
your account and password and for all activities that occur under your account.

4. Intellectual Property

a. User Content: You may upload documents as evidence of mitigation (User Content). You retain all rights to your User Content but grant us a non-exclusive license to use the User Content as part of the service provided by Confirm Control.
b. Intellectual Property Concerns: You represent and warrant that you own the User Content or have the necessary licenses, rights, consents, and permissions to use and authorize us to use all patent, trademark, trade secret, copyright, or other proprietary rights in and to any User Content provided.
c. Protection of IP: We are not responsible for the intellectual property of any User Content uploaded by users. If User Content is found to infringe on third-party intellectual property rights, we will remove it in compliance with applicable law upon receiving proper notification.

5. Fees and Payment

a. Subscription Plans: Confirm Control offers both monthly and yearly subscription plans. Fees for these subscription plans are billed in advance and are non- refundable.
b.Non-payment:Failure to pay the subscription fees will result in automatic suspension of your access to Confirm Control. If payment is not received within 30 days of the due date, we reserve the right to terminate your account.

6. Limitation of Liability

a. General: We are not liable for any risks that materialize as a result of using Confirm Control, whether the application is used correctly or incorrectly.

b. Indemnity: You agree to indemnify, defend, and hold harmless us, our directors, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses arising from your use of and access to Confirm Control, including any data or content transmitted or received by you.

7. Termination

a. By You:You may terminate your Confirm Control subscription at any time via your account settings or by contacting our support team. Termination will take effect at the end of the paid billing period.

b. By Us: We may suspend or terminate your access to Confirm Control if you fail to comply with these Terms, including failure to pay fees when due. We will provide you with notice of non-payment and allow 10 business days for payment before suspending service.

c. Effect of Termination: Upon termination of your account, your right to use Confirm Control will immediately cease. If your account is terminated due to your breach of these Terms, no subscription fees will be refunded.

d. Data Handling on Termination: Upon termination or expiration of your account, we will provide you with the opportunity to request a download of your data in a standard format. We will retain your data for a period of 30 days post-termination for your retrieval, after which we will delete your data from our systems, subject to any legal obligations that require data retention.

8. Disclaimers

Confirm Control is provided on an "as is" and "as available" basis. We do not warrant
that the service will meet your requirements or be available on an uninterrupted,
secure, or error-free basis.

9. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any
time. If a revision is material, we will provide at least 30 days' notice prior to any new
terms taking effect.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of
Queensland, Australia, without regard to its conflict of law provisions.
